Maine Coast Memorial Hospital and EMHS Approve Definitive Agreement


Ellsworth and Brewer, Maine – Maine Coast Memorial Hospital and EMHS (Eastern Maine Healthcare Systems) have approved a definitive agreement to form a strategic alignment in which Maine Coast Memorial Hospital and all of its affiliated clinics and outpatient services will be integrated into EMHS. The organizations had signed a non-binding letter of intent August 4, 2014.
“A lot of careful consideration was put into the development of this definitive agreement, by Maine Coast and EMHS.  While we will see a lot of exciting changes, many areas will stay the same. For example, our local board will continue to govern the hospital, and donations intended for Maine Coast will stay with Maine Coast,” says Charlie Therrien, CEO of Maine Coast Memorial Hospital. “We’re happy with the progress that we have made in forming this partnership.  An affiliation with EMHS will provide support and additional services that we need in order to grow and navigate the rapidly changing health care environment.”

Michelle Hood, FACHE, president and CEO of EMHS. “Bringing Maine Coast, Blue Hill Memorial Hospital and EMHS together would enable us to design a comprehensive, long-term plan for healthcare in Hancock and Washington counties. Working on this agreement has only enhanced our confidence about how well Maine Coast and EMHS fit together culturally.”
The definitive agreement establishes the elements for a new and stronger relationship between the organizations. These elements have been designed to best enable Maine Coast Memorial Hospital, Blue Hill Memorial Hospital, and EMHS to work together to continue to deliver essential services and improve the health of people in Hancock and western Washington Counties.
With the definitive agreement signed, Maine Coast Memorial Hospital and EMHS will seek all necessary regulatory approvals to close the affiliation transaction, including a state certificate of need and state antitrust clearance. This process is expected to take at least six months.
During this approval process, representatives of both organizations will work together on identifying the best methods for integrating MCMH into EMHS and in the interim Maine Coast and EMHS remain separate organizations.
