Maine Coast Memorial Hospital and EMHS Enter a Letter of Intent


Ellsworth and Brewer, Maine – (August 5, 2014) – Maine Coast Memorial Hospital and EMHS have entered into a Letter of Intent to commence discussions toward a closer relationship. The Letter of Intent, signed on August 4, 2014 allows both organizations to explore and evaluate a structure for an optimal relationship between Maine Coast Memorial Hospital and EMHS.

The Letter of Intent comes as a result of a strategic planning process the Maine Coast Memorial Hospital Board initiated last year to fulfill its responsibility to explore all options to further strengthen, enhance and preserve healthcare services for the long term, and to better meet the needs of Hancock and western Washington counties.

“Change is occurring at every hospital in the nation. Looking ahead, it will be harder than ever for Maine Coast Memorial Hospital to thrive without a partner,” said Adin Tooker, Chair Maine Coast Memorial Hospital Board of Trustees. “We made this strategic decision now while we are able to evaluate our choices from a position of strength and have the time to conduct a thoughtful and thorough review on our own terms.”

Patients in Hancock and western Washington counties will benefit as Maine Coast Memorial Hospital integrates into EMHS.

Maine Coast Memorial Hospital expects to continue to enhance its clinical quality by adopting EMHS’ clinical best practices and protocols, its advanced electronic health records, and its remote care services such as telemedicine, which especially benefit rural populations.

EMHS, Maine Coast Memorial Hospital and Blue Hill Memorial Hospital will be able to expand collaboration among the medical staffs and caregivers, recruit additional physicians, and strengthen clinical offerings across the entire service area.

Next Steps

The Letter of Intent is the first step in the optimal relationship for Maine Coast Memorial Hospital and EMHS. No firm decisions or final agreements have yet been made. A period of exclusive discussions, evaluations and due diligence will now occur over the next 60 to 90 days in anticipation of entering into a Definitive Agreement, followed by the customary state and federal regulatory approval processes taking approximately six to nine months at a minimum.

Confidentiality agreements associated with this joint non-binding letter of intent do not allow for public comment at this time.
